The contract covers roughly 460 megawatts of computing capacity at Nscale's Monarch campus in West Virginia, powered by an on-premises microgrid, with what the company describes as a "clear expansion path to 8GW+" of capacity.
The financials tell the two-sided story of a hyperscale buildout. Revenue jumped more than 1,250% to $140.6 million in the first half of 2026, while the company logged a $1.02 billion net loss in the same period, a nearly threefold increase from twelve months earlier. Management writes that "as contracted deployments become fully operational and ramp to steady-state utilization, we expect margins to stabilize at higher levels."
Nscale was last valued privately at $14.6 billion in March 2026. The filing itself does not disclose a fundraising target; Bloomberg has reported the company is seeking up to $3 billion from the offering.
Debt is doing much of the heavier lifting behind the scenes. Nscale has issued $3.1 billion of convertible notes, with at least $1 billion of that going to Nvidia, and has raised more than $4.6 billion in debt since the start of the year. Planned capex includes $1.85 billion for a 200-megawatt facility in Ward County, Texas and $1.2 billion to upgrade a 96-acre site in Madison, North Carolina, both slated to run Nvidia's Rubin GPUs and Vera processors.
